📌 Key Principle:
A company, being a juristic person, can be prosecuted for criminal offences requiring mens rea. The guilty intent of its directors or managers (the “directing mind and will” of the company) can be attributed to the company under the doctrine of attribution and imputation.

🔹 Important Observations:

1️⃣ Company as a Person (IPC Section 11):
The term “person” under Section 11 IPC includes companies. Hence, companies are not immune from criminal prosecution, even for offences involving fraud, cheating, or conspiracy.

2️⃣ Doctrine of Attribution:
The intent and acts of directors/managers who control company affairs are imputed to the company itself, fixing corporate liability.

3️⃣ Discharge Petitions (CrPC Section 239):
Repeated filing of discharge applications without fresh material is impermissible. If prima facie evidence exists, trial must continue.

4️⃣ Scope of Court’s Power (CrPC Section 482):
At the stage of discharge, the Court only checks for a prima facie case. It cannot conduct a detailed inquiry into the sufficiency of evidence. If strong suspicion exists, especially in cases of systemic fraud or misuse of public funds, trial should proceed.

✅ Legal Takeaway:
A company can be held criminally liable for acts requiring mens rea. Directors’ intent = Company’s intent. Courts will not allow abuse of process through repetitive discharge petitions. Strong suspicion backed by evidence mandates continuation of trial.
